These Terms and Conditions (“Terms”) constitute a legally binding agreement between Condor AI Technologies Private Limited (“Condor AI”, “Company”, “we”, “our”, or “us”) and the user (“User”, “you”, “your”) who accesses, installs, registers on, or uses any part of our website, software, AI systems, hardware-integrated solutions, dashboards, APIs, applications, cloud platforms, or any related services (“Platform” or “Services”). By accessing or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, you must immediately discontinue use of the Platform.

1. Introduction and Nature of Services

Condor AI is engaged in the research, design, development, manufacture, and deployment of advanced artificial intelligence systems, including but not limited to Edge AI, computer vision, embedded hardware, real-time analytics, and multi-modal processing. Our Services may include software applications, APIs, hardware devices, firmware, cloud dashboards, analytics modules, remote device orchestration, AI inference engines, data processing systems, integrations with sensors or cameras, and related documentation. These Services may be accessed under a B2B arrangement through enterprise customers or directly by individual end-users in certain cases. The Services are intended for lawful, authorized, and contractually permitted use only.

2. Acceptance of Terms

Your access or use of the Platform signifies acceptance of these Terms. You acknowledge that Condor AI may modify, update, suspend, or discontinue parts of the Platform or these Terms at its sole discretion. Continued use after such changes constitutes acceptance of revised Terms. It is your responsibility to periodically review the Terms for updates.

3. Eligibility and User Obligations

You represent and warrant that you have the full legal capacity and authority to enter into these Terms. If you are using the Platform on behalf of an organization, you confirm that you are authorized to bind that entity. You agree to use the Platform responsibly, professionally, and solely for lawful purposes. You shall not misuse, interfere with, attempt unauthorized access to, or disrupt the operation of the Platform. You are responsible for safeguarding login credentials, account information, device access, and maintaining confidentiality of all activities conducted under your user account.

4. Enterprise Access and Authorized Users

If access to the Platform is provided through an enterprise customer, such organization may control, manage, or monitor usage under its administrative rights. In such cases, the enterprise customer is responsible for authorizing its users, ensuring lawful processing of data, and maintaining internal compliance. Condor AI is not responsible for internal user actions of the enterprise or misuse of administrative privileges by such entities.

5.  License Grant and Restrictions

Subject to compliance with these Terms, Condor AI grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform solely for its intended purpose. This license does not permit you to modify, copy, reverse engineer, decompile, disassemble, reproduce, publish, resell, sublicense, distribute, exploit for commercial gain (outside of authorized contracts), or create derivative works from any part of the Platform. Unauthorized extraction, replication, or tampering with AI models, data flows, device firmware, analytics logic, or system architecture is strictly prohibited.

6.  AI Output Disclaimer and Operational Limitations

You understand and acknowledge that AI models, algorithms, and automated detection systems inherently involve probabilistic outputs. Condor AI makes no guarantees regarding accuracy, precision, completeness, or suitability of AI-generated insights, classifications, alerts, or analytics. The Platform is not intended to replace professional judgment, safety protocols, regulatory compliance obligations, or human oversight. You agree not to rely on the Platform as the sole basis for critical decisions, safety-sensitive operations, legal compliance evaluations, or emergency response.
Condor AI shall not be responsible for losses, liabilities, penalties, or adverse consequences arising from reliance on AI outputs, missed detections, false positives, false negatives, or interpretation of analytic results.

7. Hardware, Firmware, and Integrated Devices

Certain Services may involve hardware or devices manufactured by authorized partners, including manufacturing partners located in Taiwan or other jurisdictions. Hardware components may operate alongside proprietary firmware, embedded modules, and inference engines. You agree not to open, modify, tamper with, reverse engineer, or interfere with devices or firmware. Unauthorized modifications will void warranties and may result in immediate termination of access.
You further acknowledge that hardware performance may depend on environmental, electrical, network, or operational conditions beyond Condor AI’s control.

8. Data Usage and Compliance

By using the Platform, you consent to the collection, processing, and use of information as described in our Privacy Policy. You are responsible for ensuring that any data you upload, transmit, or process using the Platform is lawful, non-infringing, and compliant with applicable laws, including data protection laws. If you upload third-party data, you confirm that you have obtained necessary permissions and consents. You shall not upload data that is illegal, harmful, invasive, or prohibited under applicable law.
Condor AI reserves the right to remove, block, or restrict access to any data or user activities that, in its sole discretion, violate legal or contractual obligations.

9. International Data Transfers

You acknowledge and agree that due to the global nature of AI infrastructure and corporate operations, your data may be transferred to and processed in jurisdictions outside India. This includes transfers to our parent company in Switzerlandfor engineering, product development, analytics, or operational support, and to manufacturing partners in Taiwan for device-level diagnostics, performance testing, and hardware operations. Data may also be transferred to other countries where our cloud providers, analytics partners, or enterprise clients operate.
Transfers will occur in accordance with industry-standard safeguards, contractual protections, confidentiality obligations, encryption, and applicable legal requirements. By using the Platform, you expressly consent to such cross-border transfers.

10. Intellectual Property Rights

All intellectual property associated with the Platform including software, algorithms, AI models, designs, hardware schematics, firmware, analytics logic, trademarks, UI elements, documentation, and proprietary know-how is the exclusive property of Condor AI or its licensors. No intellectual property rights are transferred to you under these Terms. Unauthorized use, reproduction, or exploitation of Condor AI’s intellectual property is strictly prohibited and may result in legal action.

11. Service Availability and Maintenance

Condor AI may perform maintenance, upgrades, testing, or downtime, with or without notice. We may suspend or restrict access to parts of the Platform temporarily or permanently. We do not guarantee uninterrupted, error-free, or continuous availability of the Platform, and we are not liable for service interruptions caused by network failures, third-party services, environmental factors, or other circumstances beyond our control.

12. Third-Party Services

The Platform may integrate with or rely on third-party applications, APIs, cloud providers, analytics tools, or hardware components. Condor AI is not responsible for the accuracy, availability, or security of third-party services. Use of such third-party components is governed by their respective terms, and you assume all associated risks.

13. Confidentiality

You agree to maintain the confidentiality of any non-public information received from Condor AI, including system details, algorithms, deployment methodologies, technical documentation, business strategies, or contractual terms. Such information shall not be disclosed without prior written permission from Condor AI. The confidentiality obligations survive termination of these Terms.

14. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Condor AI, its directors, employees, affiliates (including its parent company in Switzerland), partners (including manufacturers in Taiwan), and service providers from all claims, damages, liabilities, penalties, losses, expenses, and costs (including legal fees) arising from:

15. Limitation of Liability

To the maximum extent permitted by law, Condor AI shall not be liable for any direct, indirect, incidental, consequential, punitive, exemplary, or special damages arising from the use or inability to use the Platform, including but not limited to loss of data, revenue, profits, business interruption, operational failures, safety incidents, hardware malfunction, system downtime, missed detections, false alerts, or third-party actions.Where liability cannot be excluded, it shall be strictly limited to the amount paid by the user to Condor AI for the Services in the preceding three (3) months, or INR 10,000, whichever is lower.

16. Termination

Condor AI may suspend or terminate access to the Platform at its sole discretion for reasons including but not limited to violation of these Terms, suspected illegal use, non-payment (in case of enterprise contracts), security concerns, or operational requirements. Upon termination, all licenses granted to you shall cease immediately, and you must discontinue all use of the Platform.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes arising out of or relating to these Terms, the Platform, or the Services shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India. Nothing prevents Condor AI from seeking injunctive or equitable relief in any jurisdiction where its intellectual property or confidential information is threatened or misused.

18. General Provisions

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force. Failure to enforce any right or provision shall not constitute a waiver. These Terms, along with the Privacy Policy, constitute the entire agreement between you and Condor AI regarding the Platform.
